Solicitors who can advise you on the best corporate structure for your company

As businesses mature and evolve over time and the ownership structure of the company will need to be flexible enough to enable this. In a company limited by shares, the Company’s Articles of Association and any shareholders agreements will settle the way in which shares can be bought and sold.

Our commercial lawyers have a wealth of experience in advising companies, directors and shareholders that are looking to reorganise their company structure or increase their shareholding. We have the experience required to draft paperwork and advise in respect of:

  • Share allotments and new issues
  • Creating different classifications of shares
  • Subscription and Investment Agreements
  • Shareholder Agreements and Joint Venture Agreements
  • Off market share purchases
  • Share cancellations
  • Sub-division of share capital
  • Loan notes
  • Reducing share capital

Our commercial & corporate solicitors will ensure any legal advice they provide for your business is clear and practical, and, if appropriate, will give you a range of options for you to choose the right way forward for your business.

Contact Sanjay Soni s.soni@thpsolicitors.co.uk or Malcom Head m.head@thpsolicitors.co.uk or call 01491 570 909 to see how we can help with your business needs.

FAQs

What are common types of company structure, and which is right for my business?

Key aspects to consider when choosing a corporate structure include personal liability for debts, taxation of profits, the ease of setup, and the potential for growth and investment. Common structures include sole traders, partnerships, limited liability partnerships (LLPs), and limited companies, each offering different levels of separation between the business and its owners.

  • Sole Trader
  • Partnership
  • Limited Company
  • Limited Liability Partnership
What factors do you need to consider when deciding on your corporate structure?
  • Liability protection – What level of personal risk are you willing to take?
  • Tax implications – Each corporate structure comes with varying tax benefits and obligations.
  • Future needs – Succession and exit planning
  • Control –Sole or shared decision-making?
  • Commercial property – Is your commercial property protected?
What are a company’s Memorandum and Articles of Association?

The structure for running a limited company is set out in its Memorandum and Articles of Association as registered at Companies House. However, this may not give the shareholders the necessary protection and appropriately document the relationship between shareholders and so a Shareholders Agreement is recommended.
